Please read this entire guide carefully before signing. This document explains exactly what you are enrolling in, what CellEx will and will not do, and what you are responsible for.
What Is the Dedicated Compliance Advisory Program?
The Dedicated Compliance Advisory Program (DCAP) is CellEx Consulting Group's ongoing compliance advisory service for motor carriers. Think of it as having a knowledgeable compliance advisor available to your company on a regular basis — without the cost of hiring a full-time in-house safety director.
When you enroll in the DCAP, CellEx assigns a compliance advisor to your account. That advisor is available to provide guidance, review documents, prepare correspondence, and support your company through the day-to-day challenges of DOT and FMCSA compliance — always upon your authorization and instruction.
Important to understand from the start: CellEx provides advisory and administrative support services only. CellEx does not act independently on any compliance matter. Every service we provide is performed upon your written or verbal authorization and instruction. You remain the decision-maker and the responsible party at all times.
What Is Included in the Program
The following services are included in your enrollment and are available upon your request and authorization:
Driver Qualification Files (DQF)
CellEx will review your drivers' qualification files for completeness and regulatory compliance. We identify missing items, expiring documents, and gaps — then advise you on what needs to be corrected. You are responsible for obtaining, maintaining, and executing all DQF documents.
Vehicle Maintenance Files
CellEx will review your vehicle maintenance records for DOT compliance — checking inspection intervals, repair documentation, and record organization. We advise on gaps; your shop and your drivers are responsible for all maintenance activities.
Safety Audit Advisory
If FMCSA schedules a safety audit or compliance review, CellEx will help you understand the process, prepare your documents, and advise on your responses. CellEx does not attend audits as your representative or attorney.
Driver Training Advisory
CellEx advises on driver training requirements and helps you understand what training programs are needed. You are responsible for scheduling, funding, and executing all driver training.
DataQs & Accident Preventability
Upon your express authorization for each dispute, CellEx prepares DataQs challenge submissions and accident preventability requests on your behalf, for your review and approval before filing. You authorize every submission.
New Driver Onboarding Support
CellEx assists with the administrative process of onboarding new drivers — DQF checklists, pre-employment requirements, Clearinghouse queries (upon authorization). Note: The Company must supply manila folders for vehicle documents. If not provided, folders will not be issued.
Regulatory Documents & Record Retention
CellEx drafts safety policies, procedures, and other regulatory documents upon your request, for your review and adoption. Documents prepared by CellEx do not take effect until you formally review and adopt them.
Ongoing Advisory Support
Your compliance advisor is available for questions, guidance calls, document preparation assistance, and ongoing compliance support throughout your enrollment period.

This is equally important to understand. The following are not part of the Dedicated Compliance Advisory Program, and CellEx shall not be held responsible for these:
✕Make hiring or firing decisions — All employment decisions remain entirely yours.
✕Control or supervise your drivers — Driver conduct is entirely your responsibility.
✕File licenses, permits, or renewals on your behalf unless separately contracted for specific filings.
✕Guarantee your safety rating or CSA score — Compliance outcomes depend on your actions.
✕Act as your attorney or provide legal advice — CellEx is not a law firm. Consult an attorney for legal matters.
✕Take any action without your authorization — CellEx never acts independently on your compliance matters.
✕Be responsible for an audit outcome — If FMCSA audits you and finds violations, CellEx is not liable. Your compliance is your responsibility.
✕Implement recommendations for you — CellEx advises. You implement. If you do not act on our advice, we cannot be held responsible for the result.
How the Program Is Priced & Billed
Your weekly program fee is calculated based on the size of your active fleet at the time of enrollment. There are two tiers:
One-Time Initial Setup Fee — Due Upon Signing

Fleets of 1–6 drivers/units
$650
Fleets of 7+ drivers/units
This one-time fee covers your account setup, initial file review, portal configuration, and onboarding of your fleet and drivers into CellEx systems. It is charged to your card on file at time of contract signing and is non-refundable.
How billing works: Each week, your fee is calculated based on the number of active drivers and active vehicles during that billing cycle. Parked trucks or inactive drivers are not counted. Your credit card is charged weekly. If your active fleet changes week to week, your bill changes with it. Notify CellEx of any fleet changes in writing; adjustments are applied within 7 days. All fees are non-refundable once services have commenced.

ELD Log Monitoring
Optional. Added at enrollment if selected. Pricing confirmed separately.
Drug & Alcohol Testing (C/TPA)
$80 per test if you enroll in CellEx D&A. If you have an existing C/TPA, no additional charge — you continue with your current provider.
Your Responsibilities as a Client
Enrolling in the DCAP does not transfer your compliance obligations to CellEx. You remain fully and solely responsible for the following at all times:
The review, accuracy, approval, and timely renewal of all DOT licenses, permits, and filings
Maintaining all driver qualification files, vehicle maintenance records, and safety records
Ensuring your drivers hold valid CDLs, medical certificates, and all required endorsements
Conducting all required pre-employment and random drug and alcohol testing
All hiring, firing, dispatching, and operational decisions
Implementing any compliance recommendations provided by CellEx
Notifying CellEx of any accidents, violations, audits, or regulatory notices promptly
Keeping your fleet size information current with CellEx for accurate billing
Maintaining active insurance as required by DOT/FMCSA regulations
Plain language: CellEx is your compliance advisor and support team. We guide you, we prepare documents for you, and we answer your compliance questions. But at the end of the day, your trucks, your drivers, and your compliance are your responsibility. If you do not act on our advice, the consequences are yours — not ours.
Termination & Fee Policy
How to Cancel
Either party may terminate this agreement with 30 days' written notice sent to info@yourcdlguard.com. The program continues and billing continues during the 30-day notice period.
Refund Policy
All fees are non-refundable once services have commenced. No partial refunds are issued for unused weeks within a billing cycle. Government filing fees paid on your behalf are non-refundable in all cases.
Fee Adjustments
If your fleet grows or shrinks, notify CellEx in writing. Adjustments take effect within 7 business days of written notification. Failure to update fleet size may result in billing discrepancies.
Late Payments
Failed payments or declined cards will result in a suspension of services until payment is resolved. CellEx reserves the right to terminate this agreement for non-payment after 15 days.

CellEx Consulting Group, Inc. is not a law firm and does not provide legal advice. Nothing in this program agreement or any document prepared by CellEx constitutes legal counsel. For legal advice, consult a licensed attorney.
CellEx is not a guarantor of compliance outcomes. Enrollment in the Dedicated Compliance Advisory Program does not guarantee a satisfactory safety rating, a passing audit, improved CSA scores, or the absence of violations. Compliance outcomes depend entirely on the actions taken by the carrier.
CellEx is not liable for consequences of non-implementation. If CellEx provides a recommendation and the Company fails to act on it, CellEx bears no responsibility for any resulting violations, fines, accidents, or enforcement actions.
CellEx's maximum liability is limited. In no event shall CellEx's total aggregate liability to the Company exceed the fees paid in the three (3) months immediately preceding the event giving rise to the claim.
CellEx is an independent contractor. CellEx does not serve as your safety director, employee, or regulatory representative. Nothing in this agreement creates an employment, agency, joint venture, or partnership relationship.
